In the latest episode of her Startup Solution podcast, Heidi Roizen explains the venture investors’ “zone of indifference”, when it comes into play and how to assess the likelihood of an investor landing in this zone. I’m a big fan of her podcast and highly recommend it.1

She also discusses directors’ fiduciary duties in the venture-backed company context, citing one of my articles on dual-fiduciary duties and the rule of common maximization, as well as my podcast with Vice Chancellor Travis Laster of the Delaware Court of Chancery and Abe Cable. That episode highlights lessons from the Trados case on its tenth anniversary, a landmark decision that addressed to whom fiduciary duties are owed when the interests of common and preferred stockholders’ conflict.
